Terms

These Terms of Service (“Terms”) govern your access to and use of Pamweni. Pamweni is operated by NC Digital Pods Inc., a corporation incorporated under the laws of Canada with its registered office at 1338 Wellington Street West, Unit 10, Ottawa, Ontario, Canada, K1Y 3B7 (“we”, “us”, “our”). By using Pamweni you agree to these Terms. If you use Pamweni on behalf of a group or organization, you represent that you are authorized to accept these Terms on its behalf.

1. Eligibility and accounts

You must be at least 18 years old to use Pamweni. You are responsible for the security of the email address you use to sign in and for the activity that happens under your account. Keep your account information accurate, and tell us promptly of any unauthorized use.

2. The service

Pamweni helps membership-based groups and organizations manage members and events, compose and share bulletins, and send event invitations and reminders over WhatsApp and (where available) SMS. We may add, change, or remove features over time. We may also set limits on use, such as the number of groups an account can administer on a given plan.

3. Your content

You retain ownership of the content you create in Pamweni — templates, events, member lists, and bulletins. You grant us a limited licence to host, store, process, and display that content solely to operate and provide the service to you. We do not claim ownership of your content and do not use it for advertising.

4. Your responsibilities for member data and messaging

You are the controller of the member information you enter into Pamweni. You represent and warrant that, for every person whose information you add and every person you message through Pamweni, you have the legal right to do so and have obtained all consents required under applicable law — including Canada’s Anti-Spam Legislation (CASL), the GDPR where it applies, and the rules of WhatsApp/Meta and our messaging provider.

You agree to honour opt-out requests promptly, to keep your members’ information accurate, and to use Pamweni’s messaging features only to send event invitations and reminders to members who have consented. You must not use Pamweni to send unsolicited, marketing, or promotional messages, or to message anyone who has not agreed to hear from your group.

5. Acceptable use

You agree not to:

  • use Pamweni to violate any law or the rights of others;
  • send unsolicited messages or message non-consenting people;
  • store sensitive personal information beyond what your group’s administration genuinely requires;
  • upload another person’s information without the right to do so;
  • attempt to breach, probe, or disrupt the security or integrity of the service; or
  • resell or sublicense the service without our written consent.

6. Messaging program terms

Your use of Pamweni’s WhatsApp and SMS features is also governed by our Messaging Terms and by the policies of WhatsApp/Meta and our messaging provider (Twilio). You remain responsible for obtaining and maintaining the consent of each recipient.

7. Subscriptions, billing, and cancellation

Pamweni offers a free plan and paid subscription plans. Paid plans are billed in advance on a recurring basis (monthly or annual) through our payment processor, Stripe. By subscribing you authorize us, through Stripe, to charge your payment method on each renewal until you cancel. Taxes may apply. You can cancel at any time from the billing portal; your plan remains active until the end of the current billing period. Fees are non-refundable except where required by law or expressly stated. We may change plan prices on reasonable notice; changes take effect on your next renewal.

8. Third-party services

Pamweni relies on third-party services — including Supabase, Stripe, Twilio, Resend, and Cloudflare — to provide the product. Your use of the service may be subject to those providers’ terms, and we are not responsible for the acts or omissions of third-party services.

9. AI integration

Pamweni lets a group administrator optionally connect a third-party AI assistant (such as Anthropic’s Claude or OpenAI’s ChatGPT) to a group through our integration endpoint. AI integration is off by default and must be enabled by an administrator.

You authorize and control it.By enabling AI integration for a group, you represent that you are authorized to do so on the group’s behalf, and you authorize the connected assistant to read and make changes to that group within the scopes you grant. You remain responsible for the assistant’s actions as if they were your own, and you should review its output before relying on it. You may disable the integration or revoke access at any time, with immediate effect.

Third-party sharing.Enabling AI integration discloses the group’s data (limited to events, roles, and per-member AI aliases — never legal names, contact details, birthdays, or anniversaries) to the AI provider you connect, which processes it under its own terms. That provider is a third-party service under Section 8, and we are not responsible for its acts or omissions.

Acceptable use. Access is scoped and granted on a per-group basis. You must not use the integration outside the granted scopes, attempt to access groups you do not administer, or use it to scrape or bulk-extract data beyond what the granted scopes permit. We provide no warranty for content or actions generated by an AI assistant.

10. Our intellectual property

Pamweni and its software, design, and trademarks are owned by NC Digital Pods Inc. and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the service in accordance with these Terms. You may not copy, modify, reverse engineer, or create derivative works of the service except as permitted by law.

11. Disclaimers

The service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure.

12. Limitation of liability

To the maximum extent permitted by law, NC Digital Pods Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or goodwill, arising out of or relating to your use of the service. Our total liability for any claim relating to the service will not exceed the greater of the amount you paid us in the 12 months before the claim or CAD $100. Some jurisdictions do not allow certain limitations, so some of these limits may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless NC Digital Pods Inc. from any claims, damages, liabilities, and expenses arising out of the content you upload, the messages you send, your breach of these Terms, or your violation of any law or the rights of others — including claims related to messaging consent.

14. Suspension and termination

You may stop using Pamweni at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the service or other users. On termination, your right to use the service ends; sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnification) will continue to apply.

15. Changes to these Terms

We may update these Terms from time to time. We will revise the date at the top, and for material changes we will provide a more prominent notice. Your continued use of Pamweni after a change takes effect means you accept the updated Terms.

16. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located in Ontario, Canada for any dispute arising out of or relating to these Terms or the service, except where applicable law gives you the right to bring proceedings elsewhere.
